By accessing or using Take Charge 24 (the "Service"), operated by Take Charge Leadership ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or using any part of the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Take Charge 24 is an AI-powered execution operating system designed to help visionary leaders turn their vision into consistent weekly execution. The Service includes tools for vision planning, 90-day priority setting, daily execution planning, weekly execution reviews, execution scoring, and AI-generated coaching responses.

3. User Accounts

To access the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when creating your account.
• Notify us immediately of any unauthorized use of your account.
• Not share your account credentials with any third party.
• Not create accounts for the purpose of abusing the Service.

4. Subscription and Billing

Access to the Service requires a paid subscription. By subscribing, you authorize us to charge the applicable subscription fee to your payment method on a recurring basis. Subscription fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.

We reserve the right to modify subscription pricing with reasonable advance notice. Founding member pricing, where applicable, is locked for the duration of your active subscription as described at the time of purchase.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated means (bots, scrapers) to access or collect data from the Service without our prior written consent.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Take Charge Leadership and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

You retain ownership of all content you input into the Service, including your vision statements, priorities, and journal entries. By using the Service, you grant us a limited, non-exclusive license to process and store your content solely for the purpose of providing the Service to you.

7. AI-Generated Content

The Service uses artificial intelligence to generate coaching responses, insights, and recommendations. AI-generated content is provided for informational and motivational purposes only and does not constitute professional coaching, therapy, financial, legal, or medical advice. You are solely responsible for decisions you make based on AI-generated content.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAKE CHARGE LEADERSHIP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

You may cancel your account at any time through your Account Settings. Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Louisiana.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
